The Florida legislature recently adopted an updated and modernized version of Chapter 607, the Florida Business Corporation Act (the "revised act"). The revised act will become effective on January 1, 2020. The revised act comprehensively modernizes Florida's corporate statute based largely on the 2016 version of the Model Business Corporation Act. The revised act also harmonizes many provisions in Florida's corporate statute with parallel language from and approaches taken by the Florida Revised Limited Liability Company Act (Chapter 605) that was adopted in 2013. The revised act not only updates and modernizes Florida's corporate statute (the first comprehensive update and modernization of Florida's corporate statute since 1989), but also makes modifications to Florida's other entity statutes, most often to harmonize those provisions with the revised corporate statute.
This program will provide an attendee with a comprehensive overview of the changes made in the revised act, particularly focused on how these changes will affect Florida law practice for lawyers who represent Florida corporations.
